AGREEMENT FOR THE PROVISION OF LEGAL SERVICES

Limited Liability Company "LAW FIRM 'PRAVOZASHCHITA'", hereinafter referred to as the "Contractor", represented by General Director Volkov Pyotr Sergeevich, acting on the basis of the Articles of Association, on the one hand, and

Smykova Nina Konstantinovna, passport series 4510 No. 123456, issued on "15" April 2018 by the Department of the Federal Migration Service of Russia for the Khamovniki District of Moscow, registered at the address: 119034, Moscow, Prechistenka St., 40, apt. 15, hereinafter referred to as the "Client", on the other hand, collectively referred to as the "Parties", have concluded this Agreement (hereinafter referred to as the "Agreement") as follows:

1. SUBJECT OF THE AGREEMENT

1.1. The Contractor undertakes to perform, on the Client's instruction, a complex of legal services related to comprehensive legal defense of the Client in criminal case No. 1-123/2024, initiated against the Client under Part 1 of Article 159 of the Criminal Code of the Russian Federation (fraud), and the Client undertakes to accept and pay for these services.

1.2. The specific list and scope of the services provided are defined in Appendix No. 1 (Statement of Work), which is an integral part of this Agreement.

2. RIGHTS AND OBLIGATIONS OF THE PARTIES

2.1. The Contractor shall:

2.1.1. Provide the services stipulated by this Agreement personally and in a high-quality manner, in accordance with the current legislation of the Russian Federation and attorney ethics.

2.1.2. Maintain attorney-client confidentiality regarding all information received from the Client in connection with the performance of this Agreement.

2.1.3. Inform the Client about the progress of the Agreement's execution, provide oral and written consultations.

2.1.4. Transfer to the Client all documents and results obtained in the course of providing the services.

2.2. The Client shall:

2.2.1. Pay for the Contractor's services in a timely manner and in full.

2.2.2. Provide all information and documents necessary for the provision of services, and ensure their accuracy.

2.2.3. Refrain from any actions that impede the Contractor's performance of its obligations.

2.2.4. Sign the Certificate of Acceptance of Services Rendered within 5 (five) business days from the date of its receipt from the Contractor.

2.3. The Contractor has the right to:

2.3.1. Independently determine the means and methods for protecting the Client's interests within the framework of the law.

2.4. The Client has the right to:

2.4.1. Request information on the progress of the Agreement's execution.

3. COST OF SERVICES AND PAYMENT PROCEDURE

3.1. The total cost of services under this Agreement is 150,000 (One hundred fifty thousand) rubles 00 kopecks, including VAT.

3.2. The Client shall transfer an advance payment of 50% of the total contract value, i.e., 75,000 (Seventy-five thousand) rubles 00 kopecks, within 3 (three) banking days from the date of signing the Agreement.

3.3. The final payment of 75,000 (Seventy-five thousand) rubles 00 kopecks shall be made within 5 (five) banking days from the date of signing the Certificate of Acceptance of Services Rendered by the Parties.

3.4. Payment shall be made by transferring funds to the Contractor's bank account.

4. LIABILITY OF THE PARTIES

4.1. For failure to perform or improper performance of obligations under the Agreement, the Parties shall be liable in accordance with the current legislation of the Russian Federation.

4.2. The Contractor shall not be liable for an unfavorable outcome in the criminal case, as it depends on numerous objective factors beyond the Contractor's control. The quality of services is determined by the diligence and professionalism of the Contractor's actions.

5. TERM OF THE AGREEMENT

5.1. This Agreement enters into force on the date of its signing and is valid until the Parties fully fulfill their obligations.

6. FINAL PROVISIONS

6.1. All disputes and disagreements shall be resolved through negotiations, and if no agreement is reached, in the Arbitration Court of Moscow.

6.2. All amendments and additions to the Agreement are valid only in written form.

6.3. The Agreement is executed in two copies of equal legal force, one for each Party.

Appendix № 1

to the Contract for the Provision of Legal Services

No. ADB-24/01 dated «26» May 2024

STATEMENT OF WORK

Purpose of the services: To provide qualified legal defense for Smykova N.K. at all stages of the criminal prosecution under case No. 1-123/2024, up to the rendering of a verdict.

List of services to be provided:

1. Consultation Block:

   · Detailed study of the criminal case materials.

   · Legal analysis of the charges brought and the evidence base of the investigation.

   · Development and coordination with the Client of the overall defense strategy.

2. Defense at the Preliminary Investigation Stage:

   · Participation of the attorney as defense counsel in all investigative actions involving the Client (interrogations, confrontations, verifications of testimony at the scene).

   · Drafting and filing motions (e.g., for a pre-trial restraint not involving detention; for the exclusion of evidence; for the termination of the criminal case).

   · Drafting and filing complaints against actions (inaction) of the investigator, inquiry officer, and prosecutor.

3. Defense in the Court of First Instance:

   · Preparation and delivery of the defense speech.

   · Participation of the attorney in court hearings.

   · Filing recusals, motions.

   · Presenting defense evidence, examining witnesses, inviting experts.

   · Preparation and filing of an appeal against the court verdict (in case of appeal).

Reporting: The result of the services for each block is the provision of an oral report to the Client, and upon completion of the stage – a written final report.

Initial term for service provision: 3 (three) business days from the date the advance payment is credited to the Contractor's bank account.
